CONSTITUTION OF

Cork City Archery Club

MEMORANDUM OF ASSOCIATION

1. The name of the company is: Cork City Archery Club COMPANY LIMITED BY GUARANTEE.
2. The company is a company limited by guarantee, registered under Part 18 of the Companies Act 2014.
3. The objects for which the company is to promote and foster all the forms of archery which conform to Irish law and the rules of the Club
4. The liability of the members is limited.
5. Every member of the company undertakes to contribute to the assets of the company, if the company is wound up while he or she is a member or is wound up within one year after the date on which he or she ceases to be a member, for:
(a) the payment of the debts and liabilities of the company contracted before he or she ceases to be a member, and the costs, charges and expenses of winding up; and
(b) the adjustment of the rights of contributories among themselves,
such amount as may be required, not exceeding €1.

ARTICLES OF ASSOCIATION

The following Regulations shall apply to the company:

Article: 1           The provisions of the Companies Act 2014 are adopted.

Article:2            The name of the Club shall be the Cork City Archery Club COMPANY LIMITED BY GUARANTEE hereinafter referred to as the Club and the Postal Address of the Club shall be that of the Hon. Secretary during the tenure of such Office.

Affiliation: 3           The Club may affiliate with a national or international organisation should the membership choose to do so by vote at the AGM, the club also shall have the option as operating as an independent body should the membership choose. If the club does affiliate to a national organisation to it will be required that the Chairperson, Secretary & Treasurer are, or become members of said organisation to ensure the club complies with the organisations requirements

Object: 4          The object of the Club shall be to promote and foster all the forms of archery which conform to Irish law and the rules of the Club, and the rules of any national or international body the club is affiliated to. and shall expressly forbid bow hunting.

Membership : 5              Membership of the Club shall be of the following categories

  1. Full membership shall alone include ordinary members, family members and student members as defined in 6(i), 6(ii) and 6(iii) herein.
  2. Junior membership as defined in 6(iv) herein
  3. Associate membership as defined in 6(v) herein
  4. Honorary membership as defined in 6(vi) herein.
  5. Any other class of membership which shall be defined by the Club, but not already defined herein.
  6. (i)           Membership of the Club shall be open to and confined to persons who alone comply with the requirements of the sport of Archery and who shall undertake to be bound by the Rules and Constitutions of the Club,(and any other body the club is affiliated to) 

(ii)         The Club Committee shall have the express authority to grant or to refuse to grant Club membership and/or the renewal of Club membership and shall further have the express right to withhold all or any details and/or any information pertaining to such refusal.

(iii)         Persons whose Club Membership has ceased or lapsed shall be required to reapply for Club Membership in the same manner as a new member as laid down in 5(i) herein and shall be required to clear all or any amounts outstanding on the date of such lapse or cessation together with any subscriptions, fees and levies demanded by the Club/,and any other body the club is affiliated to

(iv)          Persons holding Full Club Membership shall alone be eligible to vote and or to stand for election to the Club Committee and to represent the Club in any way.

7.

(i)          Ordinary membership shall be open to a person over 18 years of age

who has completed a recognised Archery Training Course.

(ii)         Family membership shall be open to a second and/or subsequent person from the same family who is over 18 years who has completed an National Archery Body recognised Archery training Course and whose parent, partner or sibling is already an active Club member.

(iii)        Student Membership shall alone be open to fulltime students over 18 years of age who have completed an National Archery organisation recognised Archery Training Course and who currently attend a recognised Second or Third Level School, College or similar Institution.

(iv)         Junior Membership shall be open to and restricted to a person under 18

years of age who has completed an National Archery Body recognised Archery Course and where an active full Member of Club shall agree and undertake to accept at all times the full and absolute responsibility for the behaviour and welfare of such Junior Member. Junior Members may be assigned to and confined to the activities of a dedicated Club Junior Section and/or may be permitted to engage in general Club shoots/activities at certain times and under certain conditions.

(v)          Associate Membership shall be open to a person over the age of 18 years who has completed an recognised Archery Training Course and who is a Bona Fide member of a recognised Archery Club/body.

(vi)        Honorary membership shall at the Annual General Meeting or a Special

General Meeting of Club Members be bestowed upon any person or persons whom the Club wishes to honour in recognition of service to the Club and/ or the Sport of Archery.

Subscription/Fees :8

(i)           Club Annual Subscriptions and Fees applicable to the various categories of Membership herein shall be decided by the club Members at the Annual General Meeting or Special General Meeting called for such purpose and shall be due and payable in instalments or yearly. Any Non-payment shall result in automatic cessation of Club Membership except where prior arrangements have been entered into with the Club Committee.

(ii)           subscriptions to a National Archery organisation shall be separate to the Club’s. membership subscriptions to National Archery organisation and shall be decided by the relevant organisation at the appropriate organisations annual general meeting.

Club Committee: 9

(i)          The direction of the Club shall be entrusted to a committee consisting of a Chairperson and at least two (2) other persons duly elected at the Annual General Meeting and shall include the Hon. Secretary and the Hon. Treasurer.

(ii)          Full Members of the club shall alone be eligible to hold office as a Club Committee Member.

(iii)          The Club Committee shall have the power to co-opt and/or appoint a Full Club Member for any period up to but not beyond the date of the next Annual General Meeting to replace any retired, resigned or indisposed Elected Club Committee Member. The person so appointed shall relinquish such appointment upon the return to duty of such indisposed Elected Club Committee Member.

(iv)         The Club Committee shall have the power to create and/or appoint Sub-Committees and/or Work-Parties for specific and/or defined purposes and shall further have the power to dissolve and/or disband such Sub-Committees and/or Work-Parties so appointed or already in existence as and when it deems necessary.

(v)          All Members of the Club Committee shall have full voting rights at all Club Committee Meetings and/or all General Meetings of the Club. In the event of an equality of votes at any such Meetings, the Chairperson shall have an additional or casting vote.

(vi)         The term of office of all Members of the Club Committee shall extend up to but not beyond the date of the Club Annual General Meeting subsequent to the date of their election.

(vii)        To the position of Chairperson shall apply a maximum number of up to but not exceeding three (3) consecutive, elected terms of office.

Finance/Audit:  10

(i)            The Club Financial Year shall be the 1st day of November to 31st day

of October following.

(ii)           All monies received from whatever source on behalf of the Club shall remain the Property of the Club.

(iii)          The Club Committee shall have full control over the club’s finances and shall regulate the Club expenditure. The Club Committee shall further have the power to refuse payment for any debt or expense incurred without the express sanction of the Club Committee.

(iv)         The Club Committee shall open a Current Account in the name of the Club with a recognised Bank. All amounts over and above forty (40) euros shall alone be made by cheque and drawn on such account. All such cheques shall be signed by the Hon. Treasurer together with one of the following – the Chairperson or the Hon. Secretary.

(v)          The Club Committee shall at its discretion open a Savings/Investment type account in addition to the Current Account with the same or other Bank/Financial Institution. All or any withdrawals from such account shall alone be by way of transfer to the Current Account.

(v)          The Hon. Treasurer shall present a copy of the Income and Expenditure Account up to the preceding 31st of October to each member present at the A.G.M.

(vi)         The Club Committee shall at its discretion appoint a bona fide Auditor or Firm of Auditors or shall alternatively appoint two (2) Full Members of the Club who shall together with the Hon. Treasurer audit and certify the Club’s Annual Income and Expenditure Account.

Meetings/Voting/Quorum: 11

(i)            The Annual General Meeting of the Club shall take place during the month of November each year to receive the Annual Reports and Statements of Account and to appoint a New Club committee for the year ahead and to discuss any further business.

(ii)           On a Motion of the Club Committee or at the request of not less than one third (1/3) of the Full Members of the Club an Extraordinary or Emergency General Meeting shall be convened by the Committee.

(iii)          The Club Committee shall arrange and convene all General Meetings of the Club. All such Meetings shall be held at a time and venue convenient to the majority of the Club Members entitled to attend such Meetings.

(iv)         Each Full Member of the Club shall receive from the Hon. Secretary fourteen (14) clear days’ notice in advance of all or any General Meetings of the Club together with any proposed changes to the Club’s Constitution, Rules or Bye-Laws, by e-mail or by post or by text message.

(v)          Each Full member of the Club shall have full voting rights at all or any General Meetings of the Club and shall have the right, through the Chair to address the meeting on the issue on hand and to further, propose and/or second all or any motion or motions put to the floor by the Chairperson. In the event of an equality of votes on any issue before any general Meeting of the Club the Chairperson shall be entitled to a second or casting vote.

(vi)         The attendance of not less than half (1/2) of the Full Members shall form a Quorum at all or any Club General Meetings of the first instance. Upon failure to reach a Quorum in the first instance, such Meeting shall automatically and without further notification reconvene at the same time and venue seven (7) days later when the Quorum shall be the number present to attend the initial/first meeting. Should a Quorum not be reached in the second instance the issues shall be dealt with in full by the Club Committee whose decision shall be fully binding on all Club Members.

Club Constitution, / Rules and Bye-Laws: 12

(I)           The Full Members of the Club assembled at a General Meeting called for such purpose shall alone have the power to make, delete and/or amend Rules and/or Bye-Laws of the Club and to add to, or to delete from, and/or amend the terms or clauses of this Constitution, contained herein.

(ii)           The decision of the Club Committee in the matter of interpretation of the Club Constitution, Rules and Bye-Laws shall be fully binding on all Club Members, trainees, Guests of, and Visitors, to the Club.

(iii)          All or any Proposals for any changes to the Club Rules, Bye-Laws and/or Club Constitution, shall be received by the Club Hon. Secretary at least twenty-eight (28) days in advance of a General Meeting called for such purpose. All or any such changes shall require the concurrence of two thirds (2/3) of the Full Members present and voting at such Meeting.

(iv)         All rules and recommendations appertaining to the safety, training and shooting procedures as laid down by the Club, National Archery Body, shall at all times be regarded as the Rules of the Club and shall be fully binding on all Members, Trainees, Guests of, and Visitors, to the Club. All or any transgressions of such rules and recommendations shall in the first instance be reported to the Club Committee.

(v)          The Club Committee shall, in the event whereby the conduct, actions and/or behaviour of any Club Member shall in the opinion of the Club Committee bring The Club into disrepute or in any way conflict with the  provisions of the Constitution, Rules and/or Bye-Laws of the Club/National Archery Body, have the power of censure and the power of imposition of  all or any of the following penalties which shall include demand for apologies and/or assurances, compensation for any loss or damage, monetary fines up to but not exceeding the current Annual Subscription rate, and/or outright withdrawal or suspension of Club Membership.

Insurance: 13

(i)            All Members of the Club shall be required to be registered with a National Archery organisation and provide the club of proof of their insurance & indemnity cover upon joining the club (unless the club is providing its own insurance 

(ii)           The Club shall have the power to take out such Insurance policies as it deems necessary to cover Members, Equipment, Premises, etc, and/or to indemnify the Club in any way.

Liability:   14

(i)            The Club, Club Members, Club Committee Members, Trainees, Guests of and Visitors to the Club, shall not be held responsible and/or liable for any claims of any form whatsoever appertaining to all or any personal injury or material damage or loss of any description, while engaged in legitimate Club duties and/or Club activities.

Visitors :  15

  1. Any Visitor taking part in Club activities shall do so only as guest of the Club and shall be an insured full member of a recognised Archery Club affiliated to a recognised National or international Archery organisation. Such visitor who in the opinion of the Club Committee is found to be making excessive use of the Club facilities may be required to become an Associate Member of the Club.

Assets/Equipment Funds/Property: 16

  1. All or any Club Assets, Equipment, Funds and/or Property shall be vested in the Chairperson, Hon. Secretary and Hon. Treasurer.

Dissolution/Dispersal      17

(i)            A Motion for the Dissolution of the Club and/or Dispersal of all or any Club Assets, Equipment, Funds and/or Property in 15(1) above, shall alone be by way of a Proposal at the Club Annual General Meeting or a General Meeting called for such purpose.

(ii)           In the event of a decision being taken in favour of Dissolution of the Club, the Members attending such Meeting shall appoint at least two (2) Trustees, who may or may not be Club Members, to oversee the Dissolution and subsequent Dispersal of Club Assets/Equipment/Funds and/or Property. Such Trustees shall be reimbursed all or any Expenses incurred.

(iii)          All or any net monetary proceeds from such Dispersal shall be divided equally amongst persons being Bona Fide Club Members at or on the date of the Meeting on which such decision in 16(ii) above was taken, and no individual gain shall accrue to any Trustee and/or Club Member.
